As regulators are assembling evidence to support such a move, Microsoft’s $13 billion investment in OpenAI may be subject to an EU antitrust inquiry, sources familiar with the situation said on Thursday.

According to the sources, Microsoft may still be the subject of an antitrust probe even though the European Union’s antitrust agency has chosen not to look into the cooperation in accordance with EU merger regulations.

This could investigate whether Microsoft’s market dominance distorts the market through specific actions or whether the collaboration limits or distorts competition inside the EU internal market.

According to one of the individuals, the European Commission is inclined toward the second viewpoint.
According to the sources, no decision has been made because the EU competition enforcer is still gathering information and might ultimately choose not to launch an investigation.

Microsoft claims it does not own any shares in ChatGPT, although it does hold a non-voting seat on the OpenAI board.

The Commission remained silent regarding the overall state of antitrust affairs. It stated that it is investigating whether the EU Merger Regulation may apply to Microsoft’s stake in OpenAI.

“In this respect, however, it is important to underline that in order to look into potential competition concerns, the Commission first needs to conclude that there has been a change of control on a lasting basis,” a spokesman stated, declining to provide additional information.
